1. By visiting and using this site you agree to the terms and conditions of use during each and every visit. In these terms and conditions the expression "we" and related expressions such as "us" and "our" refer to OFFICESHARE (UK) LIMITED and the expression "you" and related expressions such as "your" refer to you the visitor to this site. 2. We reserve the right to change these terms and conditions at any time with or without prior notification to you, by amending this web page. You will be alerted to any change on your first visit to the web site after the change has been made and the terms and conditions as amended will apply to your use of the site from that moment. 3. We are not responsible for the content, availability or reliability of linked sites and cannot guarantee that the links will work. We do not endorse or recommend any linked site or its contents and accept no liability for the consequences of your accessing any linked site. 4. The copyright and all other intellectual property rights in this site and its contents are owned by us or by our licensors. For your own use, you may download and store any downloadable content on the site for the purpose of viewing it and you may print a copy of that content. Without limitation, other than as described in this condition, you are not permitted to copy, reproduce, publish, transmit, modify, adapt, archive, display or in any way commercially exploit the content contained within this site. 5. Office share providers are advised that if they themselves own or occupy the office they intend to share under a lease or tenancy agreement, entering into a sharing arrangement may require under the terms of that lease or tenancy agreement the consent of the landlord before the arrangement is entered into and you should seek legal advice. We accept no liability whether to office share providers or office share seekers of the consequences of any sharing arrangement being entered into in breach of the terms of your lease or tenancy agreement. 6. Value Added Tax is generally applicable to the supply of sharing arrangements and office share providers and office share seekers are advised to check the position with their accountants or with the VAT office. 7. We provide through this site a medium for office share providers and office share seekers to make contact with each other. The listings on this site do not themselves constitute offers capable of acceptance so as to create contracts. 8. We make no (and expressly disclaim all) representations and warranties of any kind with respect to the content of this site or its users and in particular, but without limitation, do not warrant: 8.1 the accuracy or completeness of the information given in any site listing, which is the sole responsibility of the office share provider placing its office on the site; 8.2 that the office share provider has sufficient interest in and/or power or authority lawfully to enter into a sharing arrangement in respect of the office to which its site listing relates, 8.3 that the office share providers and office share seekers are fit and proper persons likely to comply with the terms of any sharing arrangement they may enter into, or 8.4 that an office sharing arrangement will meet the needs of the parties to it, or that the office will be suitable for the needs of the office share seeker or is of satisfactory quality or fit for any particular purpose, and we accept no liability for any errors, omissions or misprints (whether negligent or otherwise) in the site listings, all such matters as referred to in this condition (whether expressly or by implication) being matters which are the sole responsibility of the site users to satisfy themselves about and verify and in respect of which they should take appropriate legal and other advice. 9. So far as the law allows we shall not be liable for any cost claim expense loss damage or liability whatsoever including, without limitation, direct indirect or consequential damage, loss of income or profit or loss of bargain, damage to property or persons, including death and personal injury, and claims of third parties, arising in each case from any action taken or from refraining from taking any action, in reliance in whole or in part upon or in response to any information contained in this site. 10. Should any of these terms and conditions, or part of any term or condition, be held to be unenforceable or contrary to law, the remaining terms and conditions, or remaining parts of the affected term or condition, shall remain in full force and effect. 11. Any failure of us at any time to enforce any of these terms and conditions shall in no manner affect its right to enforce such provisions at a later time. 12. These terms and conditions shall be construed in accordance with the laws of England and you agree to submit to the non-exclusive jurisdiction of the English courts to resolve any dispute between you and us. 13. We shall not be liable for any disruption or damage caused to your computer nor any indirect or consequential cost claim expense loss damage or liability caused by a virus, worm or other such disruptive or damaging thing or process as a result of your visiting this site or accessing any liked site from this site or email address or otherwise utilising any of the services of this site. If you become a registered office share provider, the registration process will supply OFFICESHARE (UK) LIMITED with your organisation name, first name, last name, email address, web address, postal address and password. When you request information from advertisers on officeshare.co.uk the contact process will supply OFFICESHARE (UK) LIMITED with your name, e-mail address and contact telephone number. By submitting your information you consent to the use of that information. We will not disclose this personal information to any third parties without your prior consent and we will take all reasonable steps to protect your this information from unauthorised access or disclosure. However, we cannot guarantee the security of any information you disclose online and you accept the inherent security risks of providing information online and agree not to hold OFFICESHARE (UK) LIMITED responsible for the consequences of any breach of security. Other than as described above, OFFICESHARE (UK) LIMITED does not collect personal information on this web site. Terms of Trade Registrations and advertisements on officeshare.co.uk are free but we charge the advertiser a fee when they successfully reach an agreement with an individual (or individuals or company) to take an office space advertised on officeshare.co.uk as a result of an introduction via officeshare.co.uk. OFFICESHARE (UK) LIMITED offers two charging systems; advertisers may choose either, irrespective of the initial indication given when registering with officeshare.co.uk. 1. A single payment. This is made on completion of an agreement between the person seeking an office (The Seeker) and the company or person advertising the office space (The Lister). When a Seeker (or group of Seekers) agrees to take a space advertised on officeshare.co.uk, OFFICESHARE (UK) LIMITED will invoice The Lister for a single payment the equivalent of one month's rent (as advertised by The Lister on officeshare.co.uk), multiplied by the number of desks taken, plus VAT. There are no further payments and The Lister will take care of all the billing and other legal and financial matters concerning the new tenant. 2. Monthly payments. If The Lister chooses our Managed Solution, OFFICESHARE (UK) LIMITED will take care of all billings for your new tenant(s) for the duration of their occupancy. For this service OFFICESHARE (UK) LIMITED charges 15% of the monthly rent advertised by The Lister on officeshare.co.uk. This amount is deducted from the amount paid by the tenant(s) to OFFICESHARE (UK) LIMITED each month before the remainder is paid to The Lister each month, or other agreed period. OFFICESHARE (UK) LIMITED retains the names and contact details of all Seekers who have requested further information from a Lister via our 'Contact' form and the names and contact details of all the Listers they have contacted. OFFICESHARE (UK) LIMITED makes regular checks to ensure any fees due are paid and will not hesitate to take legal action to recover the funds if The Lister does not pay the agreed amount within 30 days of reaching an agreement with The Seeker. |
